To counter the \u201cconsiderable risks\u201d of low employment and weak economic activity, the Fed will maintain the federal funds rate near 0% to keep the inflation rate at 2%, it announced Sept. 16.<\/p>\n\n\n\n<p>The Fed\u2019s decisions to change or maintain interest rates impact the acquisition market for music publishing assets. Currently, low interest rates mean \u201cinvestors, the buyers in this market, are even more desperate and hungrier for places they can put their money to generate income,\u201d says\u00a0<strong>Gary Young<\/strong>, a partner at Royalty Exchange, an online auction for songwriters\u2019 rights. \u201cThe desperate search for yield seems to be kicking into high gear.\u201d<\/p>\n\n\n\n<p>\u201cPublishing\u2019s competition is the bond market when it\u2019s a financing play,\u201d explains lawyer\u00a0<strong>Michael Sukin<\/strong>. Put another way, bond prices and interest rates move in opposite directions: when the Fed raises the interest rates on its Treasury bonds, their prices rise and their yields fall. Borrowing and spending becomes more expensive so inflation, the Fed\u2019s focal point, slows or reverses course.<\/p>\n\n\n\n<p>As a result, publishing companies more easily finance acquisitions with the expectation their returns exceed their debt payments. Today\u2019s 10-year Treasury bill yield is low by historic measures, currently 0.69%, far below 2.06% five years ago and 2.53% a decade ago. \u201cIf interest rates went back up to 4%, life would change,\u201d says Sukin.<\/p>\n\n\n\n<p>A handful of companies have benefitted from recent investor enthusiasm for publishing rights. Most notably, Hipgnosis Songs raised a total of \u00a3423 million ($547 million) in two funding rounds in July and September, bringing its tally since its 2019 IPO on the London Stock Exchange to \u00a31.05 billion ($1.36 billion). Pitched as \u201ca pure-play exposure to songs and associated musical intellectual property,\u201d Hipgnosis made 19 deals \u2014 publishing, writer\u2019s share or both \u2014 over the summer for catalogs of the\u00a0<a href=\"https:\/\/archive.ph\/o\/GRyY3\/https:\/\/www.billboard.com\/music\/pretenders\" target=\"_blank\" rel=\"noreferrer noopener\">Pretenders<\/a>\u2019\u00a0<a href=\"https:\/\/archive.ph\/o\/GRyY3\/https:\/\/www.billboard.com\/music\/chrissie-hynde\" target=\"_blank\" rel=\"noreferrer noopener\">Chrissie Hynde<\/a>,\u00a0<a href=\"https:\/\/archive.ph\/o\/GRyY3\/https:\/\/www.billboard.com\/music\/wu-tang\" target=\"_blank\" rel=\"noreferrer noopener\">Wu-Tang Clan<\/a>\u2019s\u00a0<a href=\"https:\/\/archive.ph\/o\/GRyY3\/https:\/\/www.billboard.com\/music\/rza\" target=\"_blank\" rel=\"noreferrer noopener\">RZA<\/a>\u00a0and\u00a0<a href=\"https:\/\/archive.ph\/o\/GRyY3\/https:\/\/www.billboard.com\/music\/barry-manilow\" target=\"_blank\" rel=\"noreferrer noopener\">Barry Manilow<\/a>, among others.<\/p>\n\n\n\n<p>Concord Music Publishing raised $600 million to pay off existing debt and spent over $100 million of a $450 million debt facility\u00a0<a href=\"https:\/\/archive.ph\/o\/GRyY3\/https:\/\/www.billboard.com\/articles\/business\/publishing\/9435222\/imagine-dragons-concord-music-publishing\/\" target=\"_blank\" rel=\"noreferrer noopener\">on the writers\u2019 share<\/a> of\u00a0<a href=\"https:\/\/archive.ph\/o\/GRyY3\/https:\/\/www.billboard.com\/music\/imagine-dragons\" target=\"_blank\" rel=\"noreferrer noopener\">Imagine Dragons<\/a>\u2019 back catalog. This week, Primary Wave Music Publishing announced the acquisitions of a majority stake in the catalog of prolific songwriter\u00a0<a href=\"https:\/\/archive.ph\/o\/GRyY3\/https:\/\/www.billboard.com\/articles\/news\/8547067\/allee-willis-10-most-influential-songs\" target=\"_blank\" rel=\"noreferrer noopener\">Allee Willis<\/a>\u00a0(\u201cBoogie Wonderland\u201d by\u00a0<a href=\"https:\/\/archive.ph\/o\/GRyY3\/https:\/\/www.billboard.com\/music\/earth-wind-fire\" target=\"_blank\" rel=\"noreferrer noopener\">Earth, Wind and Fire<\/a>, \u201cWhat Have I Done to Deserve This?\u201d by the\u00a0<a href=\"https:\/\/archive.ph\/o\/GRyY3\/https:\/\/www.billboard.com\/music\/pet-shop-boys\" target=\"_blank\" rel=\"noreferrer noopener\">Pet Shop Boys<\/a>) and a stake in the publishing catalog and master artist royalties of\u00a0<a href=\"https:\/\/archive.ph\/o\/GRyY3\/https:\/\/www.billboard.com\/music\/tommy-shaw\" target=\"_blank\" rel=\"noreferrer noopener\">Tommy Shaw<\/a>(<a href=\"https:\/\/archive.ph\/o\/GRyY3\/https:\/\/www.billboard.com\/music\/styx\" target=\"_blank\" rel=\"noreferrer noopener\">Styx<\/a>, Damn Yankees). Downtown Music Holdings bought the publishing contracts of Good Soldier Songs (<a href=\"https:\/\/archive.ph\/o\/GRyY3\/https:\/\/www.billboard.com\/music\/the-1975\" target=\"_blank\" rel=\"noreferrer noopener\">The 1975<\/a>,\u00a0<a href=\"https:\/\/archive.ph\/o\/GRyY3\/https:\/\/www.billboard.com\/music\/the-wombats\" target=\"_blank\" rel=\"noreferrer noopener\">The Wombats<\/a>) and South Africa\u2019s Sheer Music Publishing.<\/p>\n\n\n\n<p>The battered U.S. economy shows signs of improvement: household spending is 75% of pre-COVID levels; half of the 22 million payroll jobs have been won back; and the housing market has \u201crebounded,\u201d Fed chairman\u00a0<strong>Jerome Powell<\/strong> told the House Committee on Financial Services on Sept. 22. If the economy shows signs of rising prices, the Fed will raise interest rates to keep inflation at 2%.<\/p>\n\n\n\n<p>But right now, interest rates favor music publishing. \u201cThis is where the action is,\u201d says\u00a0<strong><a href=\"https:\/\/dev.creativespikedigital.com\/lftc\/attorneys\/miles-cooley\/\">Miles Cooley<\/a><\/strong>, a lawyer at DLA Piper [now with Freedman + Taitelman, LLP] who has represented both buyers and sellers.
