{"id":18285,"date":"2021-03-24T12:02:00","date_gmt":"2021-03-24T19:02:00","guid":{"rendered":"https:\/\/dev.creativespikedigital.com\/lftc\/?p=18285"},"modified":"2024-11-01T10:10:45","modified_gmt":"2024-11-01T17:10:45","slug":"diving-deeper-into-the-dispo-controversy","status":"publish","type":"post","link":"https:\/\/dev.creativespikedigital.com\/lftc\/news\/social-media-influencer\/diving-deeper-into-the-dispo-controversy\/","title":{"rendered":"Diving deeper into the Dispo controversy"},"content":{"rendered":"\n<h2 class=\"wp-block-heading has-text-align-center\" id=\"h-diving-deeper-into-the-controversy-over-david-dobrik-startup-dispo\">Diving deeper into the controversy over David Dobrik startup Dispo<\/h2>\n\n\n\n<p>Spark Capital&#8217;s decision to publicly sever ties with retro camera app Dispo has caused other company investors to get cold feet, Axios has learned.<\/p>\n\n\n\n<p><strong>Why it matters:<\/strong>&nbsp;This is the latest shoe to drop after rape allegations against a former collaborator of Dispo co-founder and social media star David Dobrik.<\/p>\n\n\n\n<p><strong>Inside the deal:<\/strong>&nbsp;Spark had agreed to lead what was to be a $20 million round at a $200 million valuation, with Spark&#8217;s $12 million investment set to close on March 10 (which it did).<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Also on March 10, a $4 million SAFE note converted into equity.<\/li>\n\n\n\n<li>The remaining $8 million was set to close early this week, but a\u00a0<a href=\"https:\/\/www.sec.gov\/Archives\/edgar\/data\/1828164\/000182816421000003\/xslFormDX01\/primary_doc.xml\" target=\"_blank\" rel=\"noreferrer noopener\">Form D document<\/a>\u00a0filed yesterday shows that money still hasn&#8217;t been wired.<\/li>\n\n\n\n<li>It\u2019s tough to imagine that those other investors wouldn\u2019t at least ask for a valuation cut, given what\u2019s transpired since Spark set the $200 million mark.<\/li>\n<\/ul>\n\n\n\n<p><strong>Yesterday we&nbsp;<a href=\"https:\/\/www.axios.com\/spark-capital-startup-david-dobrik-5c972a88-414f-41b6-a3c2-586ff0684031.html\">reported<\/a><\/strong>&nbsp;that Dispo\u2019s \u201ccore investors\u201d were informed by mid-Sunday that controversial co-founder David Dobrik would be leaving the company, and that Spark\u2019s public split came hours later. This appears to have been incorrect, and we regret the error.<\/p>\n\n\n\n<p><strong>Some<\/strong>&nbsp;<strong>investors were indeed<\/strong>&nbsp;led to believe that a separation was likely, no agreement had been reached and that a very different message was conveyed during a meeting late Sunday afternoon.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Meeting attendees:<\/strong>\u00a0Spark partners Brian Watson and Nabeel Hyatt, Seven Seven Six founder Alexis Ohanian, Dispo CEO Daniel Liss, Wilson Sonsini partner Becki DeGraw <a href=\"https:\/\/dev.creativespikedigital.com\/lftc\/attorneys\/bryan-j-freedman\/\">(serving as outside counsel to Dispo) and Dobrik\u2019s attorney Bryan Freedman<\/a>.<\/li>\n\n\n\n<li>Freedman is said to have argued that Spark was rushing to judgment, whereas it hadn\u2019t done so when there had been different sorts of controversies around portfolio companies like Discord and Coinbase. He essentially asked for the startup version of due process, a 48-hour timeout during which cooler heads might prevail.<\/li>\n\n\n\n<li>Spark\u2019s partners, who repeatedly stressed the social media blowback, are said to have ended with plans to speak with their colleagues.<\/li>\n\n\n\n<li>Everyone agreed to a follow-up meeting later that night.<\/li>\n<\/ul>\n\n\n\n<p><strong>Spark\u2019s subsequent actions<\/strong>&nbsp;suggest it was unmoved by Freedman\u2019s plea, and likely a bit put off by the lack of a resignation offer (or the lack of a demand for such a letter from Dispo).<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The follow-up &#8220;meeting&#8221; was Spark informing Dispo and Freedman that its public tweets were to be forthcoming.<\/li>\n<\/ul>\n\n\n\n<p><strong>The bottom line:&nbsp;<\/strong>Dispo may still survive and thrive, as it does have Spark&#8217;s $12 million in the bank and there are success stories that began with horrific stumbles. But this is an extraordinary episode.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>As Freedman noted, Spark has a history of standing by scandal-singed companies and founders.<\/li>\n\n\n\n<li>Its decision not to do so here reflects just how seriously it appears to have taken the situation with Dobrik, and how unsalvageable it viewed its relationship with Dispo.<\/li>\n<\/ul>\n","protected":false},"excerpt":{"rendered":"<p>Diving deeper into the controversy over David Dobrik startup Dispo Spark Capital&#8217;s decision to publicly sever ties with retro camera app Dispo has caused other company investors to get cold feet, Axios has learned.
