{"id":13706,"date":"2019-12-03T10:00:00","date_gmt":"2019-12-03T18:00:00","guid":{"rendered":"https:\/\/ftllp.net\/?p=13706"},"modified":"2024-11-01T15:00:53","modified_gmt":"2024-11-01T22:00:53","slug":"pete-davidsons-stand-up-nda-may-be-effective-deterrent-even-if-it-wont-hold-up-in-court","status":"publish","type":"post","link":"https:\/\/dev.creativespikedigital.com\/lftc\/news\/entertainment\/pete-davidsons-stand-up-nda-may-be-effective-deterrent-even-if-it-wont-hold-up-in-court\/","title":{"rendered":"Pete Davidson&#8217;s Stand-Up NDA May Be &#8220;Effective Deterrent&#8221; Even If It Won&#8217;t Hold Up in Court"},"content":{"rendered":"\n<h2 class=\"wp-block-heading\" id=\"h-legal-experts-are-dubious-about-whether-the-snl-star-s-contract-is-enforceable-especially-since-fans-had-no-ability-to-negotiate-the-terms\">Legal experts are dubious about whether the &#8216;SNL&#8217; star&#8217;s contract is enforceable \u2014 especially since fans had no ability to negotiate the terms.<\/h2>\n\n\n\n<div style=\"height:25px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p>If Pete Davidson tests a joke and decides to never publicly perform it again, he reportedly expects his fans to keep it to themselves \u2014 forever.<\/p>\n\n\n\n<p>The&nbsp;<em>Saturday Night Live<\/em>&nbsp;star has allegedly made audience members sign a nondisclosure agreement before watching his latest stand-up set \u2014 complete with the threat of a million dollars in damages for sharing details about his show \u2014 and offered refunds to those who refused.<\/p>\n\n\n\n<p>Legal experts are dubious about whether Davidson\u2019s contract is enforceable \u2014 especially since fans had no ability to negotiate the terms \u2014 but its mere existence could be effective even if he never actually intends to sue.<\/p>\n\n\n\n<p>\u201cAssuming it\u2019s real, I don\u2019t think there\u2019s any judge in this country who would enforce the $1 million liquidated damages provision,\u201d says Lavely &amp; Singer partner Andrew Brettler. \u201cThat said, having patrons sign an NDA like this one \u2014 even if unenforceable in court \u2014 could be an effective deterrent.\u201d<\/p>\n\n\n\n<p>The&nbsp;<a href=\"https:\/\/www.facebook.com\/photo.php?fbid=2925757927457056&amp;set=pcb.965266923852892&amp;type=3&amp;theater\" target=\"_blank\" rel=\"noreferrer noopener\">one-page contract<\/a>&nbsp;says the performance includes \u201cworks-in-progress\u201d content and bans fans from disclosing or confirming any details until Davidson himself releases it to the general public. It also gives his company, Cowardly Dog Inc., permission to \u201cseize and destroy the contents of\u201d smartphones or other devices that are snuck into the performance. It also asks for Instagram and Twitter handles in addition to basic contact information.<\/p>\n\n\n\n<p>Reps for Davidson didn\u2019t respond to a request to verify a confidentiality agreement that was posted by a fan on Facebook, but litigator Ricardo Cestero tells&nbsp;<em>The Hollywood Reporter<\/em>&nbsp;he wouldn\u2019t be surprised by such a move, especially if the comic is testing out new material.<\/p>\n\n\n\n<p>\u201cPerformers are going to start thinking about taking these kinds of precautions,\u201d Cestero says. \u201cIf they tell a joke that bombs that people deem socially unacceptable it could have devastating career impacts given today\u2019s cancel culture.\u201d<\/p>\n\n\n\n<p>Eisner partner Jeremiah Reynolds says convincing a court jokes told to a large group continue to be &#8220;confidential&#8221; could be a tough sell. &#8220;It\u2019s common now to require people to check in their phones at comedy shows so there\u2019s no recording,&#8221; he says. &#8220;But I\u2019m unaware of anyone trying to prohibit people from commenting on the content or even posting descriptions of the jokes.&#8221;<\/p>\n\n\n\n<p>While the underlying premise of a confidentiality agreement seems reasonable enough, asking fans to keep quiet in exchange for seeing exclusive material, the NDA has its issues.<\/p>\n\n\n\n<p>First and foremost, experts consulted by&nbsp;<em>THR&nbsp;<\/em>agree it&#8217;s a contract of adhesion, meaning the signing party had substantially less bargaining power. That doesn&#8217;t necessarily mean its not enforceable, but a court may invalidate terms that are beyond what a reasonable person would expect of the contract.<\/p>\n\n\n\n<p>Reynolds argues the agreement is unreasonable on several fronts, including scope, subject matter and duration. For example, seeking damages from someone who filmed the show and posted it online is one thing, he says, &#8220;but it doesn\u2019t make sense for repeating one of the jokes in a bar to a buddy, which is a technical breach of this agreement given how broadly it is drafted.&#8221;<\/p>\n\n\n\n<p>There&#8217;s also potentially no end to the agreement, given the requirement that the content remains confidential until Davidson releases it himself. &#8220;Conceptually, you can agree that you won\u2019t disclose anything you saw in the show for the rest of your life,&#8221; says Cestero. &#8220;But what\u2019s the remedy if you breach it 10, 15, 20 years from now? Who knows.&#8221;<\/p>\n\n\n\n<p>If he did choose to sue a patron for leaking his set, Brettler says he&#8217;d have to prove his actual damages because &#8220;an automatic million-dollar penalty is unconscionable.&#8221;<\/p>\n\n\n\n<p>Meanwhile, <a href=\"https:\/\/dev.creativespikedigital.com\/lftc\/attorneys\/bryan-j-freedman\/\">entertainment litigator Bryan Freedman<\/a> suggests that the reported timing of the NDA demand could cause trouble for Davidson. <\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-style-large is-layout-flow wp-block-quote-is-layout-flow\"><p>It is ludicrous to think that, as a customer, you have to take on significant legal exposure that you were not informed of prior to purchasing your ticket for the show.
