{"id":10011,"date":"2018-03-30T14:59:00","date_gmt":"2018-03-30T21:59:00","guid":{"rendered":"https:\/\/ftllp.net\/?p=10011"},"modified":"2024-11-02T18:10:53","modified_gmt":"2024-11-03T01:10:53","slug":"hollywoods-big-talent-agencies-score-major-win-in-legal-battle-over-packaging","status":"publish","type":"post","link":"https:\/\/dev.creativespikedigital.com\/lftc\/news\/lftcllp-lawyers\/bryan-j-freedman\/hollywoods-big-talent-agencies-score-major-win-in-legal-battle-over-packaging\/","title":{"rendered":"Hollywood\u2019s Big Talent Agencies Score Major Win In Legal Battle Over Packaging"},"content":{"rendered":"\n<p><strong>UPDATED with Charles Lenhoff statement:<\/strong>&nbsp;In a major legal victory for Hollywood\u2019s \u201cBig Four\u201d talent agencies, the 9th&nbsp;Circuit Court of Appeals has affirmed a lower court\u2019s ruling that dismissed a lawsuit alleging that \u201cUber Agencies\u201d illegally conspired to corner the TV packaging business.<\/p>\n\n\n\n<p><a href=\"https:\/\/deadline.com\/2016\/05\/uta-icm-partners-antitrust-lawsuit-reconsider-dismissal-packaging-lenhoff-lenhoff-caa-wme-1201748059\/\">The antitrust suit<\/a>, filed against&nbsp;<a href=\"https:\/\/deadline.com\/tag\/uta\/\">UTA<\/a>&nbsp;and ICM in 2015 by the boutique agency&nbsp;<a href=\"https:\/\/deadline.com\/tag\/lenhoff-lenhoff\/\">Lenhoff &amp; Lenhoff<\/a>, was dismissed in May, but Lenhoff filed an appeal, which was heard last month. In a ruling handed down today (read it&nbsp;<a href=\"https:\/\/pmcdeadline2.files.wordpress.com\/2018\/03\/lenhoff-v-uta-9th-circuit-decision_redacted-wm1.pdf\" rel=\"noreferrer noopener\" target=\"_blank\">here<\/a>), the 9th&nbsp;Circuit ruled that Lenhoff\u2019s claims either \u201clack merit\u201d or failed to \u201cadequately state a claim\u201d against the defendants.<\/p>\n\n\n\n<p>During last month\u2019s hearing, Lenhoff attorney Gretchen Nelson told the three-judge panel that a \u201cprice-fixing scheme\u201d carried out by the four big agencies \u2013&nbsp;<a href=\"https:\/\/deadline.com\/tag\/wme\/\">WME<\/a>,&nbsp;<a href=\"https:\/\/deadline.com\/tag\/caa\/\">CAA<\/a>&nbsp;and defendants UTA and&nbsp;<a href=\"https:\/\/deadline.com\/tag\/icm-partners\/\">ICM Partners<\/a>&nbsp;\u2013 has led to \u201cthe demise\u201d of \u201capproximately 71% of the smaller agencies\u201d since 2001 due to \u201cthe limitations in the numbers of times that the defendants will co-package with small talent agencies.\u201d<\/p>\n\n\n\n<p>She added that \u201cthese four agencies\u201d have \u201ca stranglehold \u2026 over these studios as a result of the volume of these package deals.\u201d The existence of such a \u201cscheme,\u201d she argued, is proven by the fact that all the agencies charge the same packaging fee \u2013 known as \u201c3-3-10,\u201d in which they receive \u201c3% at the beginning, 3% at the end, and 10% on the back-end\u201d \u2013 and that they\u2019ve all used the same fee structure for nearly 20 years.<\/p>\n\n\n\n<p>The 9th Circuit, however, didn\u2019t buy any of it. \u201cThe district court dismissed Lenhoff\u2019s third amended complaint with prejudice and denied Lenhoff\u2019s motion for reconsideration,\u201d the judges wrote. \u201cWe affirm.\u201d<\/p>\n\n\n\n<p>Lenhoff &amp; Lenhoff owner Charles Lenhoff said in a statement today: \u201cWe believe that this was a well-pleaded complaint that satisfied the \u2018plausibility\u2019 standard adopted by the Supreme Court in Bell Atlantic Corp. v Twombly. With respect, I salute everyone involved in this challenging dispute.\u201d<\/p>\n\n\n\n<p>The appeallate judges said \u201chorizontal agreements among competitors to fix prices or divide markets are per se unlawful\u201d under Section 1 of the Sherman Antitrust Act but noted that \u201cthe first requirement\u201d of a complaint \u201cis to allege a contract, combination in the form of trust or otherwise, or conspiracy. The district court found that Lenhoff failed to plead this first requirement of a Section 1 claim, and we agree.\u201d<\/p>\n\n\n\n<p>\u201cMere allegations of parallel conduct\u2014even consciously parallel conduct\u2014are insufficient,\u201d the judges ruled, citing a prior ruling of the court. \u201cPlaintiffs must plead something more, some further factual enhancement, a further circumstance pointing toward a meeting of the minds of the alleged conspirators. That is, plaintiffs must plead evidentiary facts, such as who did what to whom, or with whom, where, and when.\u201d<\/p>\n\n\n\n<p>\u201cAt best,\u201d they ruled, \u201cLenhoff\u2019s third amended complaint pleads parallel conduct without alleging the \u2018something more\u2019 required to state a claim. With respect to Lenhoff\u2019s argument that the Uber Agencies conspired to fix a \u201c3-3-10 packaging fee,\u201d the third amended complaint makes only passing reference to the Uber Agencies charging such a fee. This is a bare, conclusory allegation of parallel conduct and so does not adequately state a Section 1 claim.\u201d<\/p>\n\n\n\n<p>The WGA, which wants to renegotiate its packaging agreement with the Association of Talent Agencies, recently compiled a report that found that 87% of all scripted TV shows that aired during the 2016-17 season were packaged, and that \u201cpackaging is dominated by WME and CAA,\u201d which the guild said accounted for 79% of all packaged series.<\/p>\n\n\n\n<p>Lenhoff argued that this concentration of packaging by the \u201cBig Four\u201d agencies has squeezed the smaller agencies out of the packaging business, and that the larger agencies are engaged in a \u201cconspiracy\u201d to shut the smaller agencies out of co-packaging deals. But here again, the appeals court found that Lenhoff had failed to make its case.<\/p>\n\n\n\n<p>\u201cThe third amended complaint\u2019s other allegations concentrate on the Uber Agencies co-packaging scripted television series \u2018almost exclusively\u2019 with each other and \u2018coercing\u2019 television networks and studios to deal only with them,\u201d the judges said in their ruling. \u201cAt the same time, however, the complaint acknowledges a market-based reason for why larger agencies might co-package predominantly amongst themselves: larger agencies \u201care uniquely and advantageously situated to participate in packaging scripted television series because of their large, exclusive, and in-demand talent rosters.<\/p>\n\n\n\n<p>\u201cAlthough the complaint attaches exhibits purporting to show the number of times the Uber Agencies co-packaged with each other as opposed to with smaller agencies, these exhibits are not particularly helpful to Lenhoff as they in fact show that the Uber Agencies co-packaged with smaller agencies on several occasions in the relevant timeframe. More fundamentally, the complaint nowhere pleads the evidentiary facts that would nudge its claim across the line from conceivable to plausible. Thus, Lenhoff has not stated a Section 1 claim.\u201d<\/p>\n\n\n\n<p>The alleged conspiracy to corner the market by the four biggest packagers, Lenhoff\u2019s attorney argued, started with the falling out SAG had with the ATA in 2002, when they couldn\u2019t come to terms on a new franchise agreement \u2013 known as Rule 16g. The main sticking point was that the big talent agencies wanted the right to invest in or be invested in by ad agencies, advertisers and independent producers. SAG viewed such financial interests as an irreconcilable conflict of interest, putting the actor in the position of being represented by an agency that could also be his or her employer.<\/p>\n\n\n\n<p>But here, too, the judged ruled that Lenhoff had failed to make its case. \u201cLenhoff alleges the Uber Agencies acted through representatives at the ATA to allow Rule 16(g) to expire so as to gain access to outside funding and thereby increase their market dominance,\u201d the judges said. \u201cSpecifically, Lenhoff contends the \u2018who\u2019 of its alleged conspiracy is the ATA\u2019s Strategic Planning Committee; the \u2018what\u2019 is a conspiracy to eliminate Rule 16(g); the \u2018when\u2019 is from the Strategic Planning Committee\u2019s formation in 1999 onward; and the \u2018where\u2019 is the ATA\u2019s offices. But these facts amount to nothing more than an allegation that defendants participated in a lawful trade organization, and mere participation in trade-organization meetings . . . does not suggest an illegal agreement.\u201d<\/p>\n\n\n\n<p>The judges also found no merit to Lenhoff\u2019s claims that \u201cthe Uber Agencies\u2019 conduct threatens an incipient violation of an antitrust law, or violates the policy or spirit of one of those laws because its effects are comparable to or the same as a violation of the law, or otherwise significantly threatens or harms competition.\u201d<\/p>\n\n\n\n<p>In affirming the lower court\u2019s dismissal of the case, the judges noted that the district court permitted Lenhoff \u201cto file three amended complaints, and with each amendment, Lenhoff failed to plead its claims with the requisite particularity.<\/p>\n\n\n\n<p>Lenhoff provides no reason to suppose further amendment would be anything but futile: the declarations attached to its opposition to defendants\u2019 motions to dismiss do not address the deficiencies identified above and are merely cumulative of allegations already pled in the third amended complaint.
